Terms & Conditions

These terms form a legally binding agreement between you and Arbito, operated by Ashley Chapple as a sole trader. Please read them carefully before using the service.

1. Who we are

Arbito is a private B2B matchmaking service operated by Ashley Chapple trading as Arbito. We connect Buyers anonymously with reviewed, relevant Suppliers. Our registered contact email is achapple@arbito.co.uk

2. Accepting these terms

By submitting a brief to Arbito or otherwise using the service, you confirm that you have read, understood, and agree to be bound by these terms. If you are entering into this agreement on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.

4. What Arbito is not

Arbito is not a recruitment agency, staffing company, consulting firm, or vendor of any kind. We do not place candidates, manage contracts, guarantee outcomes, or take responsibility for the conduct or performance of any Supplier introduced through the service. Any commercial relationship entered into following an introduction is solely between you and the Supplier.

5. Your anonymity

Your identity and the identity of your organisation will not be shared with any Supplier at any stage without your explicit written or digital approval. All information provided in your brief is treated as strictly confidential and will not be shared beyond what is necessary to facilitate the matching process. Arbito will take reasonable steps to protect your confidential information but cannot guarantee absolute security in all circumstances.

6. Accuracy of information

You agree to provide accurate, complete, and truthful information when submitting your brief. You confirm that you have the authority to engage with Suppliers on the matter described in your brief. Arbito cannot be held responsible for poor matches or outcomes resulting from incomplete, inaccurate, or misleading briefs.

8. No guarantee of outcome

Arbito makes no guarantee that a suitable Supplier will be identified for every brief, or that any introduction will result in a successful commercial relationship. We will always endeavour to provide relevant, high-quality shortlists but outcomes are outside our control and we accept no liability for them.

9. Indemnity

You agree to indemnify and hold harmless Arbito and Ashley Chapple from any claims, losses, damages, costs, or expenses arising from your breach of these terms, your conduct following introduction, or any inaccuracy in information you have provided.

10. Limitation of liability

To the fullest extent permitted by law, Arbito's total liability to you in connection with the service is limited to direct losses only. We accept no liability for indirect losses, consequential losses, loss of profit, loss of business, or losses arising from the conduct of any Supplier introduced through the service. Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Modifications to the service and these terms

Arbito reserves the right to modify these terms or the service at any time. We will provide reasonable notice of material changes — typically 7 days — by email or by updating this document. Continued use of the service following notice of changes constitutes acceptance of the revised terms. Fee changes applicable to Suppliers will not affect Buyer terms.

12. Termination

Either party may terminate their use of the service at any time by giving written notice. Arbito reserves the right to suspend or terminate access to the service for any Buyer who breaches these terms.

13. Waiver and severability

Arbito's failure to enforce any provision of these terms at any time does not constitute a waiver of the right to enforce that provision in the future. If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

14. Force majeure

Arbito will not be liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond its reasonable control.

15. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
